1. Introduction

Welcome to the HLTHY 30-Day “Refund Run-athon” Challenge (hereafter the “Challenge”). By entering and participating in this Challenge, you agree to be bound by these Terms and Conditions. The Challenge is a promotional fitness program offered by HLTHY (a UK-based company) in which eligible participants who run 150 kilometers in 30 days, submit valid proof, and satisfy all requirements will receive a 100% refund of their order . These Terms outline the rules, requirements, and participant obligations for the Challenge, as well as HLTHY’s rights and disclaimers. If you do not agree to these terms, you should not enter the Challenge.


 

2. Eligibility

Location: This Challenge is only open to customers with orders shipped within the United Kingdom, and is void where prohibited by law.

Age: You must be 18 years or older (or the age of majority in your jurisdiction) to participate, or have the consent of a parent/guardian if legally permissible. By entering, you represent that you are physically fit and medically able to undertake a strenuous running program.

Purchase Requirement: Entry requires the purchase of an eligible HLTHY product (e.g. an HLTHY running vest) from the official HLTHY website during the Challenge period. Only the first 100 orders will be accepted into the Challenge . If you place an order after the participation cap is reached, HLTHY reserves the right to decline your entry (in which case your order may be fulfilled as a regular product purchase without Challenge eligibility, or canceled/refunded at HLTHY’s discretion). You will receive a confirmation email after placing your order if you are successfully entered into the Challenge . If you do not receive a Challenge confirmation, you are not an official participant and not eligible for the refund reward.

One Entry Per Person: Each customer/order is limited to one Challenge entry. The Challenge is intended for individuals (no teams or groups). HLTHY employees, agents, and their immediate family/household members are not eligible to claim the refund reward (any participation by such individuals is for personal accomplishment only, not for reimbursement).


 

3. Challenge Period

30 Days of Running: The core Challenge requires you to accumulate at least 150 km of running within a 30-day period . The 30 days are counted from the date of your first qualifying run to the date of your final run. Your first and last run must be within 30 days of each other , meaning the entire Challenge running period cannot exceed 30 consecutive days.

Start Deadline (37-Day Window): You are allowed up to 37 days from the date of your order to complete the Challenge . This built-in window accounts for up to 7 days of shipping time for you to receive your HLTHY vest before you begin. In practical terms, you should plan to start your running as soon as you receive your gear, but HLTHY will honor any completion as long as your final run occurs no later than 37 calendar days after your purchase date . Runs completed beyond this 37-day post-purchase window will not count. There is no requirement to use the full 37 days if not needed; you simply must ensure all qualifying runs happen within a continuous 30-day span inside that window.

Challenge Timing Examples: If you place an order on January 1, your 37-day completion deadline is February 7. You might receive your vest by January 8; if you do your first run on January 9, then you must do your final run by February 7 (which is 30 days from Jan 9). Starting earlier is fine (e.g. first run Jan 4 if your vest arrived quickly), as long as the last run is within 30 days of the first and before Feb 7. Plan accordingly to meet the deadline.


 

4. Challenge Requirements (Participant Obligations)

To successfully complete the Challenge and qualify for the refund, you must meet all the following requirements. These conditions are strictly enforced – failure to adhere to any requirement will result in disqualification (and no refund). In summary: “Miss the 150 km target? No refund. Forget to log the run or tag us? Doesn’t count.”


4.1 Running Distance – 150 km Minimum: You must run a total of at least 150 kilometers within the 30-day Challenge period . There is no maximum distance – you may exceed 150 km – but the refund reward is the same. Only distance from running/jogging activities counts toward this total. Note: Only running is eligible – activities such as cycling, swimming, or other sports do not count . (Walking/hiking are also not advised unless done as part of a run – the spirit of the Challenge is running.)


4.2 Daily/Weekly Mileage Flexibility: You do not necessarily have to run 5 km every single day; you can distribute the 150 km as you wish over the 30 days. For example, you may run more on some days and less (or even rest) on others. You can even do multiple runs in one day or longer runs on weekends. There is no required minimum per day as long as you reach at least 150 km total in 30 days. You may split up runs (e.g. two 3 km runs in a day instead of one 6 km run) at your convenience. It’s completely up to you how you schedule your running mileage . However, each run session must be logged and posted separately (see below), and “bulk” uploads or retroactive posts are not allowed(see Section 4.5).


4.3 Use of HLTHY Vest: For every run you intend to count toward the Challenge, you must wear your HLTHY running vest (the product you purchased). This is both for safety/utility and as proof in photos that you completed the run as part of the HLTHY Challenge. By entering, you agree that using the vest is a condition of participation. Note:Wearing the vest is required on every run that you log for this Challenge – if you run without it, that activity will not count.


4.4 GPS Tracking & Strava Logging: All runs must be tracked and recorded with GPS data using a running app or device, and uploaded to Strava. You are required to join the official “HLTHY Run Crew” Strava group (club) and post each run to that group for verification . If you are new to Strava, you will need to create a free account and use the Strava app (or a linked GPS watch) to record your runs. Ensure your Strava privacy settings allow your activities to be visible to the HLTHY group or to the public, so that HLTHY can see your posts. Each qualifying run entry on Strava should include at minimum the distance, duration, route (for outdoor runs), and date/time.

 

  • Outdoor Runs: Outdoor runs must be GPS-tracked in real time (no manual distance entries for outdoor running). The Strava activity should show a route map and distance; manually entered distances without GPS data will not count .

  • Treadmill Runs: Treadmill runs are not allowed, HLTHY reserves the right to reject any treadmill entries.

  • No Other Activities: As noted, cycling, skating, or any other activity besides running (whether outdoor or treadmill) will not count toward the 150 km . The Challenge is focused on running mileage, so even if you log another activity on Strava, it will be disregarded for this Challenge.

 


4.5 Social Media Posting (Daily Run Posts): This Challenge emphasizes accountability and community-building. Therefore, for each and every run you complete as part of the Challenge, you are required to make a post on social media immediately after or on the same day as the run. The post must include a photo of you (or a clear selfie) wearing your HLTHY vest during that run, and you must tag HLTHY’s official account (@teamhlthy) in the caption or image . These posts can be on Instagram, Facebook, or another major social platform where HLTHY has a presence, but your posts must be public (visible to HLTHY) . If your account is private, you must switch it to public for the duration of the Challenge, or post to a public platform, so that we can verify the tags.


Each run should have its own dedicated post – do not combine multiple runs into one post or recap . (For example, do not wait until end of week to post one summary of all runs; they must be posted individually on the day of each run.) “Retroactive” posts or bulk logging are not accepted – i.e., you cannot hold back several days’ worth of run data and then post it all at once. The intent is consistent engagement: as our FAQ states, “No. Runs must be tagged in Strava and posted on social media as they happen. Retroactive bulk uploads don’t count.” Compliance with this rule is critical; missing even one run post/tag will disqualify that run from your total and likely your entire Challenge.


Summary of Posting Requirements: for each run, do the following:

  • Log the run to Strava (in the HLTHY club) with GPS or treadmill data.

  • Post on your public social media (e.g. Instagram) a photo of you in the HLTHY vest during that run.

  • Tag HLTHY (@teamhlthy or as instructed) in the post and/or caption.

    If you “forget to log the run or tag us,” it doesn’t count . It is your responsibility to remember to log and tag every single run. We recommend creating a checklist or routine to ensure you don’t miss any posts.

 


4.6 Honesty and Authenticity: This Challenge relies on the honesty of participants. Cheating is strictly prohibited.You must personally run all kilometres you claim – no one else may run on your behalf and you may not claim someone else’s activity. Any form of falsification of data is forbidden (for example: using a car or bicycle to produce a GPS track, logging the same run multiple times, manually editing GPS files, or photoshopping images). HLTHY reserves the right to verify the authenticity of your activities , which may include checking run metadata, requiring additional proof, or investigating any suspicious activity. If we detect or reasonably suspect cheating or dishonesty, you will be disqualified immediately (and ineligible for the refund). HLTHY’s determination on these matters is final. We encourage fair play – the Challenge is about discipline and improvement, not finding loopholes.


4.7 Community Conduct: By participating, you agree to uphold the spirit of the Challenge. Do not engage in harassment, spam, or improper behavior in the HLTHY Strava group or on social media. Inappropriate content (hate speech, illegal activity, etc.) in your posts will result in disqualification and possibly being banned from future events. HLTHY reserves the right to remove or disqualify participants for misconduct.


 

5. Submission of Proof & Completion Verification

5.1 Proof Submission Deadline: Upon completing the 150 km (or as soon as possible thereafter), you must formally submit your proof of completion to HLTHY within 45 days of your order date . There is a form at the bottom of the Challenge page (on HLTHY’s website) for this purpose, or you may be instructed to use a specific contact email/form. When submitting, you must provide identifying details such as:

 

  • The email and order number associated with your purchase.

  • Your Strava username (so we can find you in the HLTHY Run Crew and review your activities).

  • Your social media handle(s) that you used for posting (e.g. your Instagram username), so we can verify your tagged posts.

  • Optionally, you can list the dates of your first and last run or any other pertinent info to help us verify.

 


This submission must be sent no later than 45 calendar days from your original purchase date . Failure to submit within this timeframe may result in forfeiture of the refund, even if you completed the running, because HLTHY needs to close out challenges in a timely manner. It is your responsibility to submit the proof by the deadline – late submissions might not be honored.


5.2 Verification Process: After you submit your completion claim, HLTHY will review your Strava activities and social media posts to verify that all Challenge criteria were met. We will check:

  • Total distance ≥ 150 km in 30 days (based on your Strava logs).

  • Every required run was logged in the HLTHY Strava group.

  • Every run has a corresponding social media post with the vest visible and HLTHY tagged.

  • Timeframe compliance (all runs within 30 days, final run by the 37-day cutoff).

  • No signs of cheating or rule-breaking as outlined above.

 


HLTHY reserves the right to take up to a reasonable period (e.g. a few business days) to complete verification. We may reach out to you if we need additional information or clarification. For instance, if a particular run’s data is ambiguous, or a post is missing, we might give you a chance to explain or provide backup evidence. Minor, honest mistakes (e.g. a single typo in a hashtag) may be considered on a case-by-case basis, but HLTHY is under no obligation to accept any run that wasn’t properly logged and tagged. The burden of proof is on the participant.


5.3 HLTHY’s Decision: HLTHY’s determination of whether you have successfully completed the Challenge is final and binding. In other words, once HLTHY reviews your submission and makes a decision, that decision is not subject to appeal. We value fairness and will act in good faith, but we maintain sole discretion in interpreting the Challenge rules and validating completions . By participating, you agree to abide by HLTHY’s decisions and not to dispute or litigate the outcome. (This does not limit your rights to contact us with questions or concerns, but the terms as written will govern the final decision on eligibility for a refund.)


 

6. Refund Reward Conditions

Participants who fulfill all Challenge requirements and are verified by HLTHY as successful finishers will be eligible to receive the refund reward, subject to the following terms:


6.1 Refund Amount: The refund will equal 100% of the purchase price of your original order, including any standard shipping fees and after any discounts applied . In other words, we will refund the entire amount you actually paid for the order that entered you into the Challenge. For example, if you paid £79.99 for a vest plus £5 shipping (total £84.99), that full £84.99 would be refunded. If you used a promo code or gift card as part of the order, the refund will be for the net amount you paid out-of-pocket. Taxes (VAT) that were part of the purchase price will be included in the refund as required by law. No additional compensation or prize beyond this refund is offered – completing the Challenge earns you your money back (essentially, you get the gear for free as your “prize”), plus of course bragging rights and personal satisfaction.


6.2 Refund Method: Refunds will generally be issued to the same payment method you used for the purchase. HLTHY will process the refund through our e-commerce payment system. Please note that refund processing may take approximately 5–7 business days after approval for the funds to be returned to your bank or card . (Processing times can vary depending on your bank/credit card.) You will be notified by email once your refund has been issued. In some cases, HLTHY may offer the refund in the form of store credit or a gift voucher of equivalent value – if that is the case, we will communicate it to you and such credit will be usable toward any HLTHY product, valid for at least 6 months . (But unless otherwise stated, the default is a direct refund to your original payment.)


6.3 No Partial or Pro-Rated Refunds: The refund is an all-or-nothing reward. There are no partial refunds for partial completion or nearly completing the Challenge. For example, if you run 140 km or miss a required post, you will not receive any refund. Similarly, if you complete the running but fail to meet another condition (like forgetting to tag some runs), you do not get a partial credit – you simply won’t qualify for the reward. The Challenge is only “won” by full compliance. If you fail to complete it, your original purchase remains a normal sale (you keep the product but no money back, as if you bought it regularly).


6.4 No Double Dipping: The refund applies once per order/participant. If you somehow have multiple qualifying orders or attempt the Challenge more than once, note that each order can only receive one refund and each person can only claim one successful completion in this Challenge campaign. HLTHY reserves the right to refuse multiple refunds to the same individual in the Challenge timeframe. Future Challenges (if offered) may have their own terms.


6.5 Product Retention: Upon successful completion and refund, you are not required to return the product. The vest and any other items in your order are yours to keep. Essentially, you have “earned” the gear by completing the Challenge . (Conversely, if you fail the Challenge, you do not need to return the gear either – you simply paid for it as a regular purchase.)


6.6 Notification of Reward: Once verified, HLTHY will notify you (typically via email) that you have successfully completed the Challenge and that your refund is being processed. If you do not hear from us within a reasonable time after submitting proof (e.g. 1–2 weeks), please feel free to reach out to our support team to check the status.


 

7. Impact on Standard Returns/Exchanges Policy

By entering this Challenge, you acknowledge and agree that using the HLTHY vest for its intended purpose (running)will render the product ineligible for return or exchange under HLTHY’s standard return policy. HLTHY’s normal policy allows returns of products within 14 days of delivery only if items are unused, unworn, and in resellable condition . This means the vest must show no signs of wear, sweat, odor, or outdoor use to be returnable . If you use the vest to attempt this Challenge (or even for any significant run), it will inevitably show signs of use (e.g. sweat), and thus it cannot be accepted for a return. In fact, HLTHY explicitly states that “if the vest has been used for a run or returned with sweat or body odour, we will be unable to accept it” for hygiene reasons.


7.1 Waiver of Return Right: By participating in the Challenge and using the product, you voluntarily waive any right to return the product for a refund or exchange outside of the Challenge’s refund reward. All Challenge-related orders are considered final sale if the product has been used. Do not expect that you can simply return your vest after running in it if you change your mind or fail the Challenge – such returns will be refused per our policy (items returned in a used condition will either be sent back to you or only a partial refund (or none) given, at HLTHY’s discretion, due to the product’s diminished value ). The Challenge is a commitment; once you start using the gear, your only way to get a refund is to successfully complete the Challenge as per these terms.


7.2 Initial 14-Day Window: If you decide before using the vest that you do not want to participate, you may still be able to return the unused product within 14 days of receipt under our standard returns process (subject to restocking fees, etc., as detailed in our Return Policy). However, once you have gone for a run in the vest (or after 14 days have passed with no return request, whichever comes first), the normal return option is effectively forfeited. If you have any doubts, we encourage you not to wear the vest until you are sure you want to commit to the Challenge, or to contact us promptly.


7.3 Exchanges: Similarly, exchanges for a different size or product are only possible if the vest is unused. If you discover immediately that the size is wrong, do not run in it – contact us or use the return portal to exchange for the correct size before starting the Challenge. Once you have used the vest, we cannot exchange it. (We want all participants to have gear that fits properly, so please double-check sizing upon delivery. Trying it on briefly is fine, but keep it clean if an exchange might be needed .)


 

8. Product Defects and Replacement

HLTHY products are made to high quality standards. In the unlikely event that your HLTHY vest is faulty or becomes damaged under normal use during the Challenge period, contact us immediately at support@teamhlthy.com with details and photos of the issue . If the damage is determined to be a manufacturing defect or otherwise under warranty, HLTHY will send you a replacement vest free of charge (or provide an equivalent remedy such as a suitable replacement or repair) . This is separate from the Challenge and is part of our product warranty commitment. We want you to have a functional vest.


However, please note: If you experience a gear failure that requires a replacement, the Challenge timeframe will not be extended or paused. The Challenge is time-bound, and unfortunately we cannot grant extra days, therefore the challenge will be voided and you will receive a replacement product. . Needing a replacement vest does not automatically entitle you to a refund – it only entitles you to the new product under warranty. By entering, you assume this risk. (Rest assured, vest failures are rare; but we must cover this scenario.) HLTHY will not be responsible for any inability to finish the Challenge due to equipment issues, beyond providing the replacement gear.


In summary, we’ll support you with functional gear, but the onus is on the participant to complete the Challenge in the allotted time, even if a replacement is issued. If the issue was our fault (defective product), we will of course honor the product warranty, but the Challenge refund is only for those who complete the requirements.


 

9. Disqualification and Forfeiture

We’ve covered many grounds for disqualification already. Here is a summary of key reasons you could be disqualified and forfeit eligibility for the refund:

 

  • Failure to Meet Running Goal: If you do not complete the full 150 km within the requirements (e.g. you fall short of distance, or you run out of time), you do not earn a refund – “Miss the 150km target? No refund.” .

  • Missing Logs/Tags: If you fail to log a run on Strava or fail to post/tag on social media for any run, that run is disqualified. Given the Challenge requires all runs to count to reach 150 km, missing even one post will likely mean you don’t reach the goal properly, resulting in disqualification – as our rule states, “If it’s not logged, it doesn’t count” . Even if your total distance is 150 km, if any portion wasn’t properly verified, the completion is invalid.

  • Rule Violations: Any breach of the rules in Section 4 (not wearing the vest, doing non-allowed activities, posting late, private account, etc.) can lead to disqualification. We are particularly strict about the vest requirement and public posting requirement – those are critical for verification. For example, if your social media account was private during the Challenge and we could not see your posts, that is grounds for forfeiture (unless corrected in time) .

  • Cheating or Fraud: As discussed, any attempt to cheat, falsify data, or game the system (using vehicles, logging fake runs, etc.) will result in immediate disqualification. HLTHY may also disqualify you if there is compelling evidence you did not personally complete the runs or otherwise violated the spirit of fair play.

  • Unsportsmanlike Conduct: Harassing other participants, spamming, or other misconduct can get you removed from the Challenge. This is at HLTHY’s discretion.

 


If you are disqualified or deemed ineligible at any point, you will be notified (and given an explanation, if not already obvious). Disqualification means you will not receive the refund, and your original purchase will remain yours (with no return, per Section 7). HLTHY reserves the right to disqualify any participant who fails to abide by these Terms or who impedes the administration of the Challenge in any way.


 

10. Health and Safety Disclaimer

10.1 Assumption of Risk: By voluntarily entering this Challenge, you acknowledge that running 150 km in 30 days is a strenuous physical activity and carries inherent risks. You agree that you are participating at your own risk. You understand that running can result in injury, health complications, or other adverse events. You confirm that you are in proper physical condition to undertake this Challenge and have no known medical conditions that would make it unsafe to do so. It is strongly recommended that you consult with a physician or healthcare provider before starting any new fitness program of this intensity, especially if you have not been regularly active. By participating, you affirm that you understand and accept all risks involved in running and fitness activities. In legal terms, you voluntarily assume all risks associated with your participation in the Challenge – including, but not limited to, risks of falls, weather/environmental conditions, traffic, overuse injuries, dehydration, etc.


10.2 No Medical Supervision: HLTHY is not providing medical advice or supervision as part of this Challenge. Any training guidance or tips (if provided in our communications or on our website) are general in nature. You are responsible for listening to your body and not pushing beyond safe limits. If at any time during the Challenge you feel unwell, dizzy, excessively fatigued, or in pain, stop immediately and, if needed, seek medical attention. There is no shame in cutting the Challenge short for your health – your well-being comes first (though you will forfeit the refund if you cannot complete the challenge, of course).


10.3 Personal Responsibility: You agree that HLTHY is not liable for any injuries, illnesses, or other health issuesthat may result from your participation. You are solely responsible for any medical costs or losses arising from injuries sustained during the Challenge. By entering, you release HLTHY from any claims or liability for any harm or damage (to you or your property) that may occur through your participation, to the maximum extent permitted by law. (Nothing in these terms seeks to waive liability for gross negligence or intentional misconduct by HLTHY, but simply to make clear that we are not responsible for the inherent risks of running that you voluntarily undertake.)


 

11. Limitation of Liability

Aside from health matters, HLTHY’s liability to participants is limited in scope:

 

  • No Consequential Damages: To the fullest extent allowed by law, HLTHY will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Challenge or your participation in it. This includes, for example, no liability for lost opportunities, lost income, or any other losses beyond the straightforward refund amount.

  • Cap on Direct Damages: In any case, if HLTHY is found liable for any claim arising from this Challenge, our total liability will not exceed the amount you paid for your order (i.e., the cost of the product that is subject to refund). By entering, you agree that this refund (or the product itself) is the full extent of value exchange involved, and you will not seek additional damages.

  • Not Liable for Platform Failures: HLTHY is not responsible for any failures or issues with third-party platforms that could affect participation – e.g., if Strava or social media platforms experience outages, data loss, or changes in policy that impact your ability to post or log runs. We expect you to find reasonable workarounds or contact us if a platform issue threatens your participation, but we cannot be held liable for something like “Strava was down and I couldn’t upload my run.” We will do our best to accommodate unforeseen technical issues (for example, if Strava is down one day, posting later that day when it’s back up might be acceptable), but these will be handled case-by-case.

  • No Liability for Postal Delays: We allow 7 days for shipping as a buffer, but HLTHY is not liable if delays in delivery of your vest (especially due to incorrect address, courier issues, etc.) shorten your available time. We’ll work with you to the extent possible, but the 37-day window is fixed unless an extraordinary exception is made. Similarly, if you damage or lose your vest during the Challenge, HLTHY is not liable for that or obligated to refund you (unless it’s a product defect as per Section 8).

 


Your statutory rights as a consumer are not limited by this section. This limitation of liability is intended to clarify that this Challenge is a goodwill fitness promotion, and apart from issuing the promised refund to successful participants, HLTHY cannot take on further responsibility for various outcomes or incidents that might occur.


 

12. Publicity and Data Usage

12.1 Social Media Content: By participating in the Challenge, you understand that the Challenge by its nature involves public posting of your runs and photos. You agree to allow HLTHY to like, share, repost, or otherwise use the content you post in relation to the Challenge for promotional and marketing purposes. For example, HLTHY may share your Instagram post to its own story, or may feature your success (name, distance, images) on our website or social media to congratulate you or inspire others. You grant HLTHY a royalty-free, worldwide license to use and publish your Challenge-related content (such as your photos wearing the vest or your quoted words) in connection with promoting HLTHY or the Challenge. This will always be done tastefully and with credit where applicable. If you have strong objections to certain uses, please communicate with us, but by the rules, we have the right to reasonable use of submitted content.


12.2 Personal Information: Your personal data (such as name, contact info, Strava username, social handle, order details) will be collected and processed by HLTHY for the purposes of administering the Challenge. This may include verifying your activities and contacting you about the Challenge. We will handle your data in accordance with our Privacy Policy and applicable data protection laws. We will not sell your personal information. By entering, you consent to this use of your data. If you successfully complete the Challenge, we may also announce your first name, last initial, and/or social media handle publicly in a “winners” announcement unless you request anonymity. Any email or phone contact you provide will only be used for Challenge communication or customer support.


12.3 Opt-Out: If you do not wish to be included in any public-facing announcements or marketing, please let us know in writing. This will not affect our verification process (we still must verify your proof), but we will refrain from using your identity in promotional materials if you opt out. However, note that the act of tagging us on social media is a public action that others (your followers, etc.) will see, which is inherent to the Challenge design.


 

13. Modification or Cancellation of Challenge

HLTHY reserves the right to modify, suspend, or cancel the Challenge at any time for any reason. While we aim to honor all commitments to participants, unforeseen circumstances (such as fraud, technical failures, or any situation beyond HLTHY’s control that interferes with the Challenge’s integrity) may require adjustment.

 

  • If modification is needed: HLTHY may alter these Terms or the Challenge rules (for example, extending the deadline or changing a requirement) by posting an updated version of these Terms on our website and, if feasible, notifying current participants via email. Participants will be bound by the updated terms from the time of notification forward. We will not change the core obligation (150 km for a refund) in a way that unfairly affects participants who have already started, except possibly to make it easier (we won’t, say, raise the distance requirement mid-Challenge). Any change will likely be to address issues or improve fairness.

  • If cancellation is needed: In the unlikely event the Challenge must be terminated early, HLTHY will notify participants. For any participant who already completed the Challenge requirements before cancellation, HLTHY will of course honor the refund. Participants who were actively working toward the goal but had not finished at the time of cancellation may be handled on a case-by-case basis – HLTHY may provide a consolation (like a partial refund or credit) at our discretion, but is not obligated to do so. If the Challenge is canceled before you start or shortly after your purchase, HLTHY will likely offer to either refund your purchase (since the promotional opportunity was withdrawn) or allow you to keep the product and perhaps offer a smaller make-good. These scenarios will be managed in good faith, but by entering you acknowledge that there is no guarantee the Challenge will continue if extraordinary events occur. HLTHY is not liable for any disappointment or losses due to modification or cancellation, beyond the refund of your purchase if we decide to issue one in such cases.

 


 

14. Governing Law and Dispute Resolution

These Terms and Conditions, and any disputes arising from or relating to the Challenge, shall be governed by and construed in accordance with the laws of England and Wales (UK law), without regard to its conflict of law provisions. You agree that any dispute or claim arising out of this Challenge that cannot be resolved informally shall be brought exclusively in the courts of competent jurisdiction in the UK. By participating, you consent to the jurisdiction of such courts for the purpose of resolving any disputes.


If any legal action is taken by you or by HLTHY relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs (to the extent allowed by law).


 

15. General Terms

15.1 No Waiver: HLTHY’s failure to enforce any provision of these Terms at any point shall not be deemed a waiver of our right to enforce it later. Similarly, any leniency or exception granted to one participant in a specific situation does not set a precedent or obligate HLTHY to grant the same to another participant. Each case is handled on its own facts, and strict compliance may be insisted upon in all other cases.


15.2 Severability: If any provision of these Terms is found to be illegal, void, or unenforceable by a court or competent authority, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. Our intent is that the Terms be interpreted to be valid and enforceable to the maximum extent permitted by law.


15.3 Entire Agreement: These Terms (along with HLTHY’s general website Terms of Service and policies where applicable) constitute the entire agreement between you and HLTHY regarding this Challenge. They supersede any prior or contemporaneous communications, whether oral or written, about the Challenge. In case of any conflict between these specific Challenge Terms and any other HLTHY policy or document, these Challenge Terms will govern for matters related to the Challenge. (For example, our standard Return Policy is superseded by Section 7 of these Terms for Challenge participants, to the extent of any inconsistency.)


15.4 No Employment or Agency: Your participation in the Challenge is as a consumer/promotional participant. You are not an employee, legal partner, or agent of HLTHY by virtue of this Challenge, and you shall not represent yourself as such. You have no authority to bind HLTHY to any obligation.


15.5 Transferability: You may not transfer or assign your rights or obligations in this Challenge to any other person. The Challenge entry (and potential refund) is personal to the original purchaser/participant and cannot be sold, transferred, or gifted to someone else. If you bought a vest for someone else as a gift, that person should be the one participating and the refund would still go to the original payment method (you may coordinate between yourselves). Any attempt to transfer the Challenge entry or substitute a different runner without HLTHY’s consent is grounds for disqualification.


15.6 Headings: Section headings in this document are for convenience and organization only and have no legal effect.
